Licence for Adderit Verifactu for Microsoft Dynamics 365 Business Central

These license terms constitute an agreement between Adderit Q.A. S.L. (hereinafter, THE PROVIDER) and the customer of Adderit Verifactu.
THE LICENSE TERMS WILL BE EFFECTIVE AS SOON AS YOU DOWNLOAD, INSTALL OR USE THE SOFTWARE. THE DOWNLOAD, INSTALLATION OR USE OF THIS SOFTWARE MEANS ACCEPTANCE OF THIS AGREEMENT. IF YOU DO NOT ACCEPT THESE TERMS, DO NOT DOWNLOAD, INSTALL OR USE THE SOFTWARE.
By accepting, you are granted the rights specified below.
INSTALLATION AND USE RIGHTS. You may install and use one copy of the software. This software requires a communications network connection to execute the function it was designed for. The software must be installed according to the system requirements defined by THE PROVIDER for the specific version being installed. Failure to comply with the system requirements results in the loss of the rights granted by the software license.
FEATURES. The software features will depend on the installed version. Additionally, some features may not be available depending on your Dynamics server edition/version.
SCOPE OF THE LICENSE. The software is licensed, not sold. This agreement grants you certain rights to use the software. THE PROVIDER reserves all other rights. The license may be acquired with either proprietary or subscription-based rights of use. Unless the applicable law grants you more rights, you may only use the software as specified in this agreement. In doing so, you must comply with the technical limitations of the software that only allow you to use it in certain ways. You will not be able to:
– Bypass the technical limitations of the software.
– Alter the content of the software in any way or request third parties to do so on your behalf.
– Reverse engineer, decompile, or disassemble the software, except to the extent required by applicable law.
– Make the software publicly available for others to copy.
– Distribute, rent, lease, or lend the software.
– Transfer the software or this agreement to third parties.
BACKUP COPY. You may make backup copies of the software, which can only be used to reinstall the software.
DOCUMENTATION. You may copy and use the documentation provided with the software for internal reference purposes.
SOFTWARE IMPROVEMENT PLAN (Maintenance): You will have the option to purchase software improvement rights (maintenance) from THE PROVIDER. The software improvement plan grants you access to new versions of the software and support. For licenses with proprietary rights of use, purchasing the software improvement plan for the first year of software upgrades is mandatory, with annual renewals being optional. For subscription-based licenses, the benefits of the software improvement plan are included in the subscription fee. Failure to pay for the software improvement plan results in the loss of the benefits provided by the plan.
UPDATE RIGHTS. The software improvement plan gives you the right to use the latest version of the software available at the time of purchase of the software improvement plan. This benefit does not include installation, upgrade, or migration services, which, if needed, must be contracted with THE PROVIDER separately.
SUPPORT RIGHTS. Access to functional support services is not included with the software. In case of issues, support will always be provided through: the website chat or adderit@adderit.es. For more information on software support: https://adderit.es/es/contacto/. To resolve an incident, we may ask you to reproduce it in a standard, isolated environment provided by THE PROVIDER.
ADAPTATIONS OR CUSTOMIZATIONS. The software is developed with specific functionality and requires connecting to the company’s Dynamics ERP (Business Central) for proper operation. If your Dynamics ERP (Business Central) has been customized, Adderit Verifactu software may not function correctly. In such cases, services needed to adapt Adderit Verifactu to work correctly with your Dynamics ERP are not included and must be contracted separately. Any adaptation or customization of your standard Adderit Verifactu environment must be done by THE PROVIDER, as the owner of the code, and is outside the coverage of the software improvement plan.
INTELLECTUAL PROPERTY NOTICES. Adderit Verifactu is a trademark owned by Adderit Q.A. S.L. in Spain. Under no circumstances will the source code of the software be provided to you, even if the software incorporates any adaptation or customization specifically developed for you. The integrity of this intellectual property can be verified at any time by THE PROVIDER, and the customer must provide such verification when requested. In the event of obstruction by the customer, THE PROVIDER reserves the right to report and request this information through the competent authorities.
LEGAL EFFECTS. This agreement describes certain legal rights. You may also have other rights under the laws of your jurisdiction. This agreement does not alter the rights you have under the law of your country if that law does not allow such a measure.
DISCLAIMER OF WARRANTY. The software is provided and licensed “AS IS”. You accept the risk of using it. THE PROVIDER does not provide any explicit warranties. Local legislation may provide additional consumer rights that this agreement cannot alter. To the extent permitted by local legislation, THE PROVIDER excludes implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
LIMITATION AND EXCLUSION OF DAMAGES AND COMPENSATIONS. You may not recover any damages, including consequential damages, for lost profits, special, indirect, punitive, or incidental damages related to the software, services, content (including code) found on third-party websites, or any third-party software included.
This limitation applies even if the repair, replacement, or refund of the software does not fully compensate for potential losses or if THE PROVIDER knew or should have known the possibility of such damages occurring.
Situations may arise where this limitation or exclusion may not apply to your case because your state or country does not allow the exclusion or limitation of incidental or consequential damages or any other type of damages.
